Proposed Changes to Garden’s Code of Regulations
Over the past two years, the Governance Committee of the Garden’s Board of Directors has conducted a rigorous and thorough review of the Code of Regulations and now is recommending revisions based on its findings. Conducting such a review is a fiduciary requirement and best practice among non-profits every few years.
The revisions are intended to ensure the Code is in compliance with changing regulations and laws, in line with current best practices for not-for-profit organizations and complementary to the culture and mission of the Garden.
The proposed changes address voting rights of members, election of Directors and Officers of the Board, Board committee structure and the minimum number of Directors. A vote on the proposed revisions to the Code of Regulations will be held at the Garden’s Annual Meeting on June 26, 2013, at the Garden.
